Terms of Service

1. Overview

These Terms of Service ("Terms") govern your use of the IronFist AI agent platform ("Platform") operated by StableState LLC ("StableState", "we", "us"). By creating an account or using the Platform, you agree to be bound by these Terms.

2. Service Description

The Platform provides Agentic AI Solutions as a Service (AASaaS). Each subscriber receives a fully isolated, autonomous AI agent deployed on dedicated Azure infrastructure. The agent operates using tools, persistent memory, and procedures configured by the subscriber.

The Platform operates on a Bring Your Own (BYO) model. Subscribers provide their own API keys, communication channels, and integration credentials. StableState provides the orchestration layer, tool ecosystem, governance framework, and infrastructure.

3. Account Responsibilities

You are responsible for maintaining the security of your account credentials, all API keys and tokens you provide to the Platform, all actions taken by your agent using your credentials, and compliance with the Acceptable Use Policy.

You must not share account access with unauthorized individuals, use the Platform for any purpose prohibited by the Acceptable Use Policy, attempt to access another subscriber's infrastructure, data, or agent, or reverse-engineer, decompile, or extract source code from the Platform or any agent deployment.

4. Bring Your Own (BYO) Model

You provide your own Anthropic API key. StableState does not control, monitor, or bill your LLM usage. You are solely responsible for your Anthropic account, credits, and API costs.

You provide your own communication channel (Telegram, Slack, Custom Webhook, or other supported channels). StableState does not operate or moderate your communication channel.

You provide your own integration credentials (Google, Microsoft, GitHub, Browserbase, etc.) by creating your own OAuth applications and API keys. StableState stores these credentials in your dedicated Azure Key Vault and does not share them across tenants.

5. Intellectual Property

Platform ownership: StableState retains all rights to the Platform, including the agent loop architecture, tool ecosystem, governance framework, deployment pipeline, and all associated source code. The Platform architecture is protected under US Patent Application 19/638,025 (Track One, priority date March 16, 2026).

Your data: You retain all rights to your data, agent outputs, procedures, memory contents, and any content generated by your agent. StableState does not claim ownership of subscriber data or agent outputs.

Non-reverse-engineering: You agree not to reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or architecture of the Platform, any agent deployment, or any component thereof.

6. Payment & Billing

Subscription fees are billed monthly via Stripe. All prices are in USD. Payment is due at the start of each billing cycle.

Failed payments are retried automatically by Stripe. After the final retry attempt fails, your agent is suspended (not deleted) and enters a 14-day grace period. You retain dashboard access and data export during grace. After 14 days, your infrastructure is deleted.

Annual billing is available at Professional tier and above (pay 10 months, receive 12).

Onboarding fees, where applicable, are non-refundable after provisioning begins.

7. Termination

You may cancel your subscription at any time via the dashboard. Upon cancellation, your agent is suspended immediately. You have 30 days to export your data (memory, procedures, episodes). After 30 days, your Azure resource group and all associated data are permanently deleted.

StableState may suspend or terminate your account immediately for violation of the Acceptable Use Policy, repeated failed payments beyond the grace period, or illegal activity conducted through your agent.

8. Free Trial

Starter and Professional subscription tiers include a 7-day free trial. A valid credit card is required to begin the trial. If you do not cancel before the trial period ends, your subscription will automatically convert to a paid subscription and your card will be charged the applicable monthly rate.

You may cancel at any time during the trial period at no charge. Upon cancellation during the trial, your agent infrastructure is deleted immediately.

Business and Enterprise tiers do not include a free trial. Business tier subscriptions are billed immediately upon sign-up, with a $499 one-time onboarding fee. Enterprise deployments are scoped individually.

9. Limitation of Liability

StableState's total liability for any claim arising from or related to the Platform is limited to the lesser of: the per-incident minimum floor of $1,000 USD, or the total subscription fees paid by you in the 12 months preceding the claim.

StableState is not liable for actions taken by your agent using your API keys and credentials, costs incurred on your Anthropic, Google, Microsoft, Browserbase, or other third-party accounts, inaccurate or harmful outputs generated by your agent's LLM, upstream provider outages (Anthropic, Azure, Google, Microsoft, Browserbase), or data loss resulting from your failure to export data during the 30-day post-cancellation window.

10. General Provisions

Governing law: These Terms are governed by the laws of the State of Wisconsin, United States.

Modifications: We may update these Terms with 30 days' notice via email. Continued use after the notice period constitutes acceptance.

Entire agreement: These Terms, together with the Privacy Policy, Data Processing Agreement, Acceptable Use Policy, Credential Handling Acknowledgment, and AI Disclosure, constitute the entire agreement between you and StableState.
